Michael Saylor vs Larry Fink: The Bitcoin accumulation war

Strategy holds 846,842 Bitcoin. This total exceeds BlackRock’s iShares Bitcoin Trust (IBIT) holdings of 782,179 Bitcoin. Strategy spent $7 billion on Bitcoin during the first two-and-a-half months of 2026, with more than half of that spending occurring in March. This expenditure exceeds the $231 million the company spent during the 2022 bear market. Strategy also raised $283 million in STRC to fund a 4,000-Bitcoin purchase last week. This week, STRC funded 75% of Strategy’s $1.5 billion purchase. BlackRock’s IBIT reached $50 billion in assets under management in April 2026. IBIT currently holds 3.9% of all existing Bitcoin. Strategy’s stock fell 45% from its December highs, yet Saylor continues to sell shares to fund purchases. Strategy’s purchases grew during the price drop from $126,000 to $70,000. Strategy trails IBIT by 21,111 BTC, or roughly $1.5 billion at current prices. In April 2026, Strategy acquired 34,164 BTC at an average price of $74,395.

The STRC and IBIT Divergence

Strategy uses preferred equity shares called STRC to fund its Bitcoin purchases. These shares pay an 11.5% yield and rank above common stock in the capital structure. STRC has no maturity date and allows Strategy to raise capital even when markets are unfavorable. While BlackRock attracts institutional capital through its iShares Bitcoin Trust, Michael Saylor builds a specialized investment vehicle that uses Bitcoin as collateral to issue debt and equity, creating a complex web of financial relationships. IBIT attracts a different demographic, as 75% of its holders had never owned an ETF before. Many who bought IBIT subsequently began purchasing other BlackRock ETFs. Jay Jacobs, BlackRock’s head of U.S. stock ETFs, calls the fusion of crypto and traditional finance the "Great Convergence." BlackRock also launched the iShares Bitcoin Premium Income ETF (BITA) in June 2026 to capture annualized yields of 15-25% by selling options premiums. IBIT options launched on the Nasdaq in November 2024 and became among the most actively traded equity options by notional value. These options settle physically into IBIT shares, which aligns price discovery with spot market dynamics.

Institutional Adoption and the GENIUS Act

90 state and municipal pension systems disclose Bitcoin ETF positions in 13F filings. The State of Wisconsin Investment Board disclosed a Bitcoin ETF position in May 2024. Pension funds in Florida, Michigan, and Texas hold between 0.1 and 0.5 percent of their total fund assets in Bitcoin. Saylor organizes his framework into five layers: digital capital, digital credit, digital money, digital yield, and digital equity. This model treats Bitcoin as a reserve asset that supports other financial instruments. Credit products use Bitcoin as collateral to assign different risks across the capital structure. IBIT investors use creation and redemption mechanisms to move Bitcoin from self-custody into ETF wrappers. Over $3 billion in conversions flowed through this mechanism by late 2025. Coinbase Prime holds custody for the majority of the $50 billion in Bitcoin ETF assets. The GENIUS Act of May 2026 reduced legal uncertainty for institutional participants. The current ETF buyer profile includes 1,400 registered investment advisers, 500 hedge funds, 90 state and municipal pension systems, and 30 university endowments. Eleven of the twelve original spot Bitcoin ETF applicants named Coinbase as their qualified custodian.

The Structural Verdict

Strategy relies on the Net Asset Value (NAV) premium to issue equity and expand its holdings. This premium exists because investors pay for exposure to Strategy’s specialized structure. If the mNAV falls below one, the company may face the pressure to sell its Bitcoin hoard. BlackRock’s IBIT captures 55 to 65 percent of net new inflows on days of positive flow. You probably know that Bitcoin volatility drives these markets, but the two leaders use entirely different tools to capture it. BlackRock’s IBIT generates revenue through a 0.25% annual management fee. Strategy earns its way through the spread between Bitcoin’s growth and the interest it pays to debt and preferred stock holders. Strategy’s Bitcoin yield reached 9.5% this year. BlackRock holds 14.61 million shares in Strategy, valued at approximately $2.39 billion as of December 31, 2025. The Bitcoin ETF market follows an established institutional product lifecycle, with fees for IBIT and Fidelity’s FBTC compressing to 0.25%. Does the institutional demand for IBIT remain as permanent as the corporate treasury model used by Strategy?
