Bitcoin treasury expansion and regulatory shifts

Strive Inc bought 5,816 Bitcoin at an average price of $116,047 per coin. This $675 million acquisition brings Strive’s total holdings to 5,886 Bitcoin. The companies signed a definitive agreement for an all-stock merger that values Semler Scientific at a 210% premium to its previous closing price. Following the announcement, Semler Scientific stock rose 11.4% while Strive shares fell 10.8%. The merged entity expects to own over 10,900 Bitcoin. This combined company intends to build a scaled Bitcoin acquisition platform. Matt Cole, the Chairman and CEO of Strive, says the merger combines two pioneering Bitcoin treasury companies to form a scaled and accretive Bitcoin acquisition platform. The combined entity plans to explore monetizing or distributing the diagnostics business of Semler Scientific, which has historically produced profit. Eric Semler, the Executive Chairman of Semler Scientific, will join the Board of Directors at Strive after the transaction closes. The deal is subject to customary closing conditions and requires approval from both companies’ boards.

Metaplanet expands its global footprint

Metaplanet reached a 43,000 Bitcoin milestone on July 2. This Tokyo-based firm ranks third globally among corporate Bitcoin treasuries, following Strategy and Twenty One Capital. The firm added 2,823 Bitcoin during the second quarter of 2026. Metaplanet now plans to expand into the U.S. market through Superplanet, Inc. It will contribute 2,100 Bitcoin, valued at approximately $132.1 million, together with $2.5 million in cash, to Super League in exchange for 44,859,400 shares of common stock at a price of $3.00 per share. Metaplanet will hold 95.7% of Superplanet after the transaction closes in the fourth quarter of 2026. This expansion creates a Bitcoin treasury platform spanning both the Nasdaq Capital Market and the Tokyo Stock Exchange. The average acquisition price for Metaplanet’s recent purchases landed at roughly 12.71 million yen per Bitcoin. This price dropped to 12.09 million yen because of income from its Bitcoin Generation business. That segment produced $10.95 million in Q2 revenue. Metaplanet reports a 6.6% Bitcoin yield. The company maintains a total Bitcoin investment of roughly 659.25 billion yen. Total debt and preferred stock account for 23% of Bitcoin’s net asset value. Simon Gerovich, the CEO of Metaplanet, says the company is building in America, the deepest capital market in the world.

Japanese tax reforms change the math

Japanese companies no longer owe tax on the mark-to-market value of long-term crypto holdings starting in the fiscal year beginning April 1, 2026. This reform aims to prevent businesses from moving to jurisdictions like Dubai or Singapore. Current tax laws classify cryptocurrency profits as miscellaneous income, which can result in effective rates of 55%. The 2026 reform introduces a 20.315% flat tax for specified crypto assets traded on registered Japanese exchanges. This rate includes a 15% national income tax, a 5% inhabitant tax, and a 2.1% reconstruction surtax. Profits from selling specified crypto assets through Financial Services Agency registered exchanges qualify for this rate. Non-residents pay a flat 20.42% national income tax on Japan-sourced employment income. Residents in Japan face progressive national rates from 5% to 45% plus a 10% residence tax. These rates can combine to create a 55% effective tax burden on miscellaneous income. The National Tax Agency accepts the Moving Average Method to recalculate average cost basis each time an investor acquires additional units. Users can also use the Total Average Method, which adds every yen spent on a token during the tax year and divides it by the total number of units held. This new framework follows the 2022 stablecoin reforms that regulated fiat-denominated stablecoins as Electronic Payment Instruments.

Market volatility tests treasury models

The Bitcoin treasury model operates as a liquidity derivative. It works while equity trades at a premium to Bitcoin net asset value. Galaxy Research noted that this reflexive cycle stalled once premiums tightened and equity issuance became dilutive. Bitcoin prices fell from $126,000 in October to as low as $80,000. Many treasury company bitcoin purchases remain underwater. Metaplanet and Nakamoto show average cost bases above $107,000. Strategy holds 848,517 Bitcoin and established a $1.44 billion cash reserve to cover 12 months of dividend and interest commitments. I find the survival of these companies depends on balance sheet flexibility. You know how these treasury models work: the cycle depends on issuance premiums. Will these emerging platforms successfully bridge the gap between Tokyo and New York?
